Terms of Service

1. Introduction

These Terms of Service ("Agreement") govern your use of services provided by Blue Cipher AI LLC ("Blue Cipher AI," "we," "us," or "our"), including but not limited to The Growth Engine, AI agent implementation, pipeline automation, and related consulting services (collectively, the "Services").

By engaging our Services, you ("Client," "you," or "your") agree to be bound by this Agreement.

2. Services Description

Blue Cipher AI provides revenue infrastructure, pipeline automation, and AI-powered systems designed for coaching, training, consulting, and growth-stage service businesses. Our Services may include:

• •AI agent deployment for lead follow-up and appointment setting
• •Pipeline automation and CRM integration
• •Speed-to-lead response systems
• •Lead nurturing sequences across multiple channels
• •Booking and appointment management automation
• •Performance dashboards and reporting

3. Client Responsibilities

To ensure successful delivery of Services, Client agrees to:

• •Provide accurate, complete, and timely information necessary for service delivery
• •Grant necessary access to systems, platforms, and accounts as required
• •Respond to requests for information or approval within reasonable timeframes
• •Comply with all applicable laws regarding marketing, communications, and data protection

4. Payment Terms

Payment terms shall be as specified in your service agreement or invoice. Unless otherwise agreed:

• •Fees are due upon receipt of invoice unless otherwise specified
• •Recurring fees are billed in advance on a monthly basis
• •Late payments may incur interest at 1.5% per month
• •Blue Cipher AI reserves the right to suspend Services for accounts more than 15 days past due

5. Intellectual Property

Blue Cipher AI Property: All methodologies, processes, templates, frameworks, AI models, software, and proprietary systems developed by Blue Cipher AI remain the exclusive property of Blue Cipher AI LLC.

Client Property: Client retains ownership of all client-provided materials, data, content, and brand assets.

6. Results Disclaimer

While Blue Cipher AI is committed to delivering high-quality Services, we do not guarantee specific results, including but not limited to:

• •Number of leads generated or appointments booked
• •Revenue increases or specific ROI outcomes
• •Conversion rates or engagement metrics

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE CIPHER AI'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL BLUE CIPHER AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
