App Services Addendum

This Addendum supplements the existing agreement between Blue Cipher AI LLC and the Client (the “Base Agreement”) for access to Digital AI CRM (the “Service”).
1. Service description
Blue Cipher AI LLC provides Digital AI CRM as a value-added service to the Client in accordance with the Base Agreement.
2. Fees
Access to the Service is provided under the pricing and terms set out in the Client’s plan or the Base Agreement. Any additional fees will be agreed in writing.
3. Access and termination
Blue Cipher AI LLC may grant or revoke Client access to the Service, and may suspend or terminate the Service if the Client violates the Terms of Service or applicable law.
4. Intellectual property
Blue Cipher AI LLC retains all rights to Digital AI CRM. The Client has no ownership rights in the platform, its software, or underlying systems.
5. Liability
Blue Cipher AI LLC’s liability for the Service is limited to the fees paid under the Base Agreement in the 12 months prior to the claim, or $10,000, whichever is greater, to the fullest extent permitted by law.
6. Data privacy
The Client’s data is protected under Blue Cipher AI LLC’s Privacy Policy and California Privacy Addendum (CCPA/CPRA), where applicable.
7. No warranty
The Service is provided “as is” without warranties of any kind, express or implied.
Order of precedence
This Addendum is part of the Base Agreement. If there is a conflict between this Addendum and the Base Agreement, the Base Agreement governs.
